Electric Ease

TERMS OF SERVICE

Last Updated: October 1, 2026

These Terms of Service (these “Terms”) govern your access to and use of the websites, software applications, cloud-based platforms, artificial intelligence and machine-learning features, document-processing tools, estimating tools, integrations, APIs, support services, and other products and services owned, operated, or provided by Estimating Ease, LLC d/b/a Electric Ease 2.0 (“Electric Ease,” “we,” “us,” or “our”), collectively, the “Services.”

These Terms represent an agreement between Electric Ease and the individual or entity accessing or using the Services (“you,” “your,” or “Customer”).

These Terms supplement Electric Ease’s Privacy Policy and any applicable order form, checkout terms, subscription agreement, promotional terms, rebate terms, statement of work, or other written agreement between you and Electric Ease relating to the Services (each, an “Order”).

By accessing, purchasing, subscribing to, or using the Services, you accept and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity.

You further represent and warrant that:

(a) you are at least 18 years of age;

(b) you have authority to enter into these Terms;

(c) your use of the Services has been properly authorized by any entity you represent; and

(d) these Terms constitute binding obligations between you and Electric Ease.

If you do not agree to these Terms, you must not access or use the Services.

Information provided through the Services may be compiled from Electric Ease, Customer, third-party, artificial-intelligence, vendor, supplier, distributor, or other sources. Electric Ease does not guarantee the accuracy, timeliness, completeness, availability, or suitability of such information for any particular purpose.

You are responsible for independently reviewing and verifying information obtained through the Services before relying upon or acting upon it.

1. GRANT OF LICENSE

Subject to these Terms and payment of all applicable fees, Electric Ease grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the applicable subscription term.

Electric Ease reserves all rights not expressly granted under these Terms.

You are responsible for obtaining and maintaining the hardware, internet access, telecommunications, software, equipment, and other resources necessary to access and use the Services.

2. LICENSE AND USE RESTRICTIONS

Except as expressly authorized by Electric Ease, you may not:

(a) copy, modify, translate, distribute, sell, sublicense, lease, or create derivative works based upon the Services;

(b) reverse engineer, disassemble, decompile, decode, scrape, or otherwise attempt to obtain or derive source code, algorithms, models, model weights, training data, prompts, system instructions, underlying technology, or other non-public components of the Services;

(c) remove or modify any copyright, trademark, proprietary, or other notices;

(d) use the Services in a manner that infringes, misappropriates, or violates the intellectual-property, privacy, contractual, or other rights of any person;

(e) interfere with, disable, circumvent, override, or attempt to bypass security measures, usage limitations, access controls, artificial-intelligence safeguards, warnings, consent mechanisms, or other protections;

(f) access or use the Services for the purpose of building, developing, training, improving, benchmarking, or operating a competing product or service;

(g) publish or distribute non-public performance tests, benchmarking results, screenshots, evaluations, or comparisons involving the Services without Electric Ease’s prior written consent;

(h) use automated methods to access, extract, scrape, copy, or obtain data from the Services except as expressly authorized by Electric Ease;

(i) attempt to obtain unauthorized access to another customer’s account, data, systems, or information;

(j) introduce viruses, malicious code, spyware, or other harmful components;

(k) use the Services for any unlawful, fraudulent, abusive, defamatory, obscene, harmful, or unauthorized purpose; or

(l) use the Services in any manner Electric Ease reasonably determines is abusive, harmful, disruptive, fraudulent, or inconsistent with the intended purpose of the Services.

Violation of these restrictions may result in immediate suspension or termination of access.

3. SUBSCRIPTIONS, FEES, AND PAYMENT

All fees for the Services will be charged at the prices stated in the applicable Order or, if no price is stated, at Electric Ease’s then-current prices.

Minimum Commitment

Unless an applicable Order, promotional offer, rebate program, or separate written agreement expressly states otherwise, paid subscriptions are subject to an initial twelve (12) month minimum commitment.

The billing frequency does not alter the length of the commitment.

If a twelve-month subscription is billed monthly, each monthly payment constitutes an installment toward the fees owed for the twelve-month commitment and does not create a month-to-month subscription or a monthly right to terminate the remaining contractual commitment.

Unless otherwise stated in an applicable Order or required by law, cancellation, termination, non-use, or discontinuation of the Services does not relieve Customer of amounts properly owed for the applicable committed term.

Exceptions

Electric Ease may offer subscriptions, promotions, rebates, trials, incentives, or other programs with terms that differ from these standard Terms.

Where an applicable Order, promotional agreement, or rebate terms expressly modifies the minimum commitment, billing requirements, renewal requirements, or other provisions of these Terms, the more specific written terms will control with respect to that specific offer.

Payment

By providing a payment method, you authorize Electric Ease and its payment processors to charge applicable subscription fees, taxes, and other authorized charges according to your applicable billing schedule.

You are responsible for keeping billing and payment information current.

Failure to make required payments constitutes a material breach of these Terms. Electric Ease may suspend or terminate Services for delinquent payments.

You are responsible for reasonable costs Electric Ease incurs in collecting overdue amounts, including attorneys’ fees, court costs, and collection-agency fees where permitted by law.

All fees are exclusive of applicable taxes unless expressly stated otherwise.

You are responsible for all applicable federal, state, local, sales, use, excise, value-added, and similar taxes, other than taxes based upon Electric Ease’s net income.

Unless expressly provided otherwise in an applicable Order or required by law, all amounts paid are non-refundable and there will be no prorated refunds for unused portions of a subscription term.

Electric Ease may modify pricing for future subscription or renewal periods upon notice and subject to applicable law.

4. TERM, RENEWAL, CANCELLATION, SUSPENSION, AND TERMINATION

These Terms remain effective while you access or use the Services.

Unless otherwise stated in an applicable Order, paid subscriptions are subject to the minimum commitment described in Section 3.

Electric Ease may suspend or terminate your access to the Services immediately for any reason or no reason, including nonpayment, suspected fraud, security concerns, violation of these Terms, misuse of the Services, or conduct Electric Ease determines may harm Electric Ease, its customers, its systems, or third parties.

You may discontinue use or provide notice of cancellation at any time; however, cancellation does not relieve you of payment obligations associated with an applicable minimum commitment unless otherwise stated in an applicable Order or required by law.

Renewal terms, renewal periods, cancellation deadlines, and any required renewal notices will be governed by the applicable Order, applicable law, and any disclosures presented at the time of enrollment or renewal.

Upon termination or expiration, your right to access and use the Services will cease unless otherwise provided by Electric Ease.

Sections that by their nature should survive termination, including provisions concerning payment obligations, ownership, intellectual property, Data rights, disclaimers, indemnification, limitations of liability, and dispute provisions, will survive.

5. DATA

For purposes of these Terms, “Data” means information, documents, files, plans, specifications, drawings, photographs, pricing information, quantities, estimates, project information, customer information, vendor information, subcontractor information, materials, assemblies, labor information, communications, inputs, outputs, usage information, and other information uploaded, submitted, transmitted, generated, processed, stored, or otherwise made available through the Services.

Rights in Data

To the fullest extent permitted by law, all right, title, and interest in Data contained in, generated through, processed through, derived through, or created through the Services will belong to Electric Ease.

To the extent any rights in Data cannot legally be assigned or transferred to Electric Ease, you grant Electric Ease a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to access, host, store, reproduce, process, analyze, combine, aggregate, de-identify, modify, adapt, create derivative works from, display, distribute, use, commercialize, and otherwise exploit such Data for purposes including providing, maintaining, protecting, analyzing, developing, improving, and operating the Services and Electric Ease’s business.

These rights may survive termination, cancellation, expiration, or discontinuation of your account or subscription.

Electric Ease may use Data, including aggregated, de-identified, derived, statistical, usage, and performance information, for analytics, benchmarking, research, product development, artificial-intelligence and machine-learning development, testing, validation, improvement, security, fraud prevention, and other lawful business purposes.

Your Authority to Provide Data

You represent and warrant that you possess all rights, permissions, licenses, authorizations, and consents necessary to upload, submit, transmit, or otherwise provide Data to Electric Ease and to grant Electric Ease the rights described in these Terms.

You are responsible for ensuring that Data does not violate the intellectual-property, privacy, confidentiality, contractual, trade-secret, proprietary, or other rights of any third party.

You are responsible for the accuracy, completeness, legality, and appropriateness of Data you provide.

Unless expressly approved in writing by Electric Ease, you may not knowingly upload classified information, export-controlled information, controlled unclassified information, government-restricted information, or other information subject to special security or handling requirements that the Services are not expressly designed to process.

Retention

Electric Ease may maintain Data following expiration, cancellation, or termination of an account to the extent permitted by law and consistent with Electric Ease’s Privacy Policy, backup practices, legal obligations, security requirements, legitimate business purposes, and data-retention practices.

Electric Ease does not represent that the Services are intended to serve as Customer’s sole archival or records-retention system. Customer is responsible for maintaining appropriate independent copies and backups of information it requires for its business, contractual, legal, or regulatory purposes.

6. ARTIFICIAL INTELLIGENCE AND ESTIMATING OUTPUTS

Certain Services may use artificial intelligence, machine learning, computer vision, automated processing, data analysis, or similar technologies (“AI Features”).

AI Features may produce counts, quantities, measurements, classifications, summaries, recommendations, discrepancies, questions, takeoffs, scope information, material information, labor information, pricing information, proposal content, reports, or other outputs (“AI Outputs”).

AI Features and AI Outputs are tools intended to assist professional judgment. They are not substitutes for the review, judgment, experience, or responsibility of a qualified estimator, contractor, project manager, engineer, architect, attorney, accountant, code professional, or other qualified professional.

AI Outputs may be inaccurate, incomplete, outdated, duplicated, omitted, incorrectly interpreted, or otherwise unsuitable for a particular project or purpose.

You are solely responsible for reviewing and verifying, as applicable:

(a) plans and specifications;

(b) addenda and revisions;

(c) scope requirements;

(d) counts and quantities;

(e) dimensions, measurements, scale, routing, and distances;

(f) materials and assemblies;

(h) vendor and subcontractor information;

(i) pricing and availability;

(j) taxes, freight, tariffs, escalation, and substitutions;

(k) code, permitting, engineering, and design requirements;

(l) exclusions, inclusions, alternates, and assumptions;

(m) contract requirements;

(n) estimates and proposals; and

(o) all final information submitted to customers, general contractors, owners, vendors, subcontractors, or other third parties.

Electric Ease does not guarantee that an estimate, takeoff, quantity, price, proposal, recommendation, or other output will be complete, accurate, profitable, compliant, competitive, accepted, or free from error.

You remain solely responsible for your business decisions and for any bid, estimate, proposal, contract, purchase, installation, or other action taken in reliance upon the Services.

7. MATERIAL PRICING AND THIRD-PARTY INFORMATION

The Services may display, calculate, process, or incorporate information obtained from manufacturers, distributors, suppliers, vendors, subcontractors, customers, third-party databases, APIs, external services, or other sources.

Such information may include material prices, availability, product descriptions, labor information, freight, taxes, vendor quotes, or other information.

Electric Ease does not independently guarantee third-party information.

Prices and availability may change at any time and may differ based on supplier, location, quantity, customer-specific agreements, freight, taxes, tariffs, market conditions, substitutions, timing, and other factors.

You are responsible for independently confirming final pricing, availability, quantities, terms, and other information before submitting a bid, entering into a contract, ordering materials, or otherwise relying upon such information.

8. THIRD-PARTY SERVICES AND INTEGRATIONS

The Services may rely upon or integrate with third-party products and services, including payment processors, cloud-hosting providers, artificial-intelligence providers, communications providers, software platforms, distributors, suppliers, data providers, APIs, and other third-party systems.

Electric Ease does not control and is not responsible for third-party services, their availability, their accuracy, their security, their terms, or their conduct.

By enabling or using an integration, you authorize Electric Ease and the applicable third party to exchange information and perform actions reasonably necessary to provide the integration.

Electric Ease is not responsible for loss, modification, disclosure, deletion, delay, or other consequences caused by a third-party service or by Customer’s configuration or use of an integration.

Use of third-party services may be subject to additional terms and privacy policies established by those third parties.

9. ACCOUNTS, USERNAMES, PASSWORDS, AND AUTHORIZED USERS

You may be required to create an account and provide registration information before accessing certain Services.

You agree to provide complete, current, and accurate registration information.

Accounts and credentials may not be shared except as expressly permitted by the applicable subscription.

You are responsible for all employees, agents, contractors, and other persons who access the Services through your account or under your authority.

You must promptly notify Electric Ease at support@electric-ease.com of any known or suspected unauthorized account access or security breach.

Electric Ease may disable or restrict any account, username, password, credential, device, seat, or other access mechanism at any time where Electric Ease reasonably believes doing so is appropriate.

Electric Ease may monitor account, seat, device, project, storage, feature, and usage activity for billing, security, product operation, license compliance, fraud prevention, and enforcement of subscription limitations.

10. MODIFICATION AND DISCONTINUATION OF SERVICES

Electric Ease may modify, update, improve, replace, limit, suspend, or discontinue all or any portion of the Services at any time.

Features, user interfaces, workflows, artificial-intelligence models, integrations, product capabilities, and other aspects of the Services may change over time.

Electric Ease does not undertake an obligation to continue any particular feature or functionality unless expressly agreed in writing.

Your purchase or subscription is not contingent upon the delivery of any future functionality, feature, product, integration, roadmap item, development schedule, demonstration, or oral or written statement concerning future capabilities unless expressly stated in a signed written agreement.

Electric Ease may release beta, preview, experimental, early-access, or similar features. Such features may be incomplete, contain errors, change materially, or be discontinued and are provided without any guarantee of continued availability.

11. PROPRIETARY RIGHTS

The Services, including Electric Ease’s software, systems, technologies, methodologies, databases, models, algorithms, workflows, processes, designs, interfaces, templates, assemblies, libraries, content, documentation, reports, features, architecture, know-how, trade secrets, improvements, modifications, enhancements, derivative works, and related intellectual-property rights, are and will remain the sole and exclusive property of Electric Ease and its licensors.

Except for the limited license expressly provided under these Terms, you receive no right, title, or interest in or to the Services.

Nothing in these Terms grants you any right to use Electric Ease’s trademarks, trade names, logos, domain names, branding, or other distinctive marks without prior written authorization.

Any feedback, comments, ideas, recommendations, requests, suggestions, corrections, improvements, or other information you voluntarily provide regarding the Services may be used by Electric Ease without restriction, attribution, compensation, or obligation to you.

12. USER CONDUCT; USE BY OTHERS

You are responsible for your use of the Services and for all information and communications transmitted through your account.

You are responsible for the acts and omissions of your employees, agents, contractors, authorized users, and other persons accessing the Services under your authority.

You agree to comply with applicable federal, state, local, and international laws and regulations.

Where your use of the Services requires you to provide privacy notices, obtain consent, obtain authorization, or comply with contractual or regulatory requirements, you are solely responsible for doing so.

You represent and warrant that all required notices, permissions, rights, and consents have been obtained before information is provided to Electric Ease.

If the Services allow you to create or send proposals, emails, text messages, documents, or other communications to third parties, you are responsible for the content, recipients, authorization, accuracy, and legality of those communications.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Electric Ease and its parents, subsidiaries, affiliates, officers, directors, employees, contractors, representatives, licensors, service providers, successors, and assigns from and against claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
